Dangote Petroleum Refinery and Petrochemicals has announced the successful completion of a $2.5 billion private equity placement, describing the transaction as a landmark achievement that strengthens the company’s capital base ahead of its planned public listing. The fundraising is regarded as one of the largest corporate capital raises by an African company.

In a statement issued on Thursday, the company said the private placement attracted subscriptions worth 3.7 times the initial offer size, resulting in the issuance and allotment of approximately 2.5 billion in new equity,” the company said.

The refinery noted that the transaction marks its first external equity fundraising beyond its existing shareholder base and described it as Africa’s largest publicly disclosed primary equity private placement by value.

According to the company, the fresh capital will support its long-term growth strategy, strengthen its financing structure and fund expansion projects, including plans to increase the refinery’s processing capacity and deepen its petrochemical operations.

The successful fundraising also comes ahead of the refinery’s anticipated Initial Public Offering (IPO), expected later this year, which is projected to broaden its investor base and provide additional funding for future expansion.

Industry analysts said the overwhelming investor interest reflects growing confidence in the refinery’s commercial prospects and its strategic role in transforming Africa’s energy landscape. They added that the oversubscribed offering is likely to boost investor sentiment ahead of the planned stock market listing.
